My relationship with insurance started in 1997 when I first enlisted in the army. I think many of you guys would share the same experience as myself.

The army company I was posted to, let in an adviser to persuade us to buy a personal accident plant.

That was my first policy.

I wouldn’t have to think about insurance again, until in 2005, a year after I graduated from university. That was about 2 years in, where I already discovered the world of unit trusts.

I thought maybe I should start being a responsible adult. After learning about unit trust, I learned that it can be rather suicidal if you put a lot of money into something you do not know much about.

I decide to do what I did when I have no idea how to invest in unit trust. I picked up a relevant book, or a few books on personal finance and read it. I have an idea about different kinds of protection.

However, I was still not very sure. Some experienced advisers and experienced members in the unit trust forum was kind enough to share their knowledge. Those proved to be invaluable in drawing what is in the books to real life scenario.

Vividthree Holdings can trace its history back to 2006, where they started out as a visual effects studio. Today, they are involved in creating content for the various platform by leveraging on the virtual reality (VR) technology.

In addition to that, they also provide Post-production services, mainly in visual effects, computer-generated imagery, and other post-production related work.

The company was previously owned by mm2 Asia with a 51% stake. Last month, Vividthree entered into a restructuring agreement to spin-off from its parent company and to be listed on the Catalist board.

1. Vividthree Holdings Limited IPO Details

The IPO will close at 12pm on 20 September 2018 (Thursday) and expected to commence trading on 25 September 2018(Tuesday).

The company is placing 51.8 million new shares at a price of S$0.25 a piece during the IPO period. The total number of issued share in the company immediately after the placement will be 334,011,764 shares.

Unfortunately, the IPO is not made available to the public and its prospectus did not provide any information about the cornerstone investors.

That said, Mr Long Jong, Non-Executive Director & Mr Ang Wee Gee, the brother of Mr Melvin Ang intend to subscribe for 200,000 and 1,200,000 placement shares.Fyi, Mr Melvin Ang is the executive chairman of mm2 Asia.

2. Vividthree’s Business Segments

The company comprises 2 main business segments, namely content production and post-production.

How To Play OUE Commercial Reit Rights Issuance

It’s been quite a while since we last had an M&A news that involves right issuance hence I think it is time to refresh our memory on how we can play this for interested parties.

The proposed acquisition this time is from their own sponsor, OUE Limited, with the acquisition of the OUE Downtown, which comprises of both 50-storey building Downtown 1 and 37-storey building Downtown 2, as well as some retail podium and carpark which they had not too long ago carried out an enhancement work.

The proposed acquisition is in the range of $908m, which is a slight discount from the independent valuer perspective, and together with some transaction and admin fee, it will total up to around $956m.

The funding will be made partly via borrowings of $361.6m while the rest of the $588m will be funded via equity rights issuance.
